SAIC Blogs Terms of Use

Please read these Terms Of Use carefully before using the SAIC Blogs (“Blogs”), consisting of chat areas, forums, news groups, bulletin board services and/or other facilities that permit You to communicate with others. By using the Blogs, You signify Your agreement with these Terms Of Use.



SAIC reserves the right, in its sole discretion, to modify, alter or otherwise update these Terms Of Use at any time. By using the Blogs after notice of such changes is posted, You agree to be bound by the modifications, alterations or updates.

You agree that when using the Blogs, You will not:

  • Violate any applicable law or regulation;

  • Upload, use, copy, modify, publish or distribute information that contains material protected by intellectual property laws, including without limitation material protected by patent, copyright, trademark (such as SAIC’s logo), or trade secrets, or by rights of privacy of publicity unless You own or control the rights thereto or have received all necessary consents;

  • Falsify or delete author attributions, legal or other notices or proprietary designations indicating the origin or source of information that is uploaded or downloaded from the Blogs or used in any materials and information submitted by You, in any form;

  • Publish, post, use, copy, modify, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information. Inappropriate topics, names, material or information may include personal, non-topic related, criticisms or attacks, confrontational speech such as “flaming” or all caps posts, jokes, resumes or personal material;

  • Harass, abuse, threaten or otherwise violate any of the legal rights of others;

  • Upload viruses, corrupted files or any other software or information that may damage the operation of another’s computer or network;

  • Use the Blogs without permission for commercial purposes, including such purposes as advertisements, promotions, offers to buy or sell goods or services, surveys, contests, pyramid schemes, or sponsorships;

  • Use the Blogs to forward chain letters;

  • Permit anyone other than Yourself to use Your personal information to access any portions of the Blogs, or

  • Violate any of SAIC’s policies, guidelines or other codes of conduct which are applicable to SAIC’s Blogs.

No Obligation to Monitor / Ability to Remove

SAIC has no obligation to screen or monitor the Blogs or any other materials and information, in any form, submitted by Blog members; however, SAIC reserves the right to review information or materials posted to the Blogs or used in any materials and information submitted by Blog members, and reserves the right to remove any such information or materials in SAIC’s sole discretion, regardless of whether such information or materials does or does not violate these Terms of Use or any SAIC policies, guidelines or other codes of conduct applicable to the Blogs.

No Endorsement

SAIC does not control or endorse, and specifically disclaims, the content, messages or information found on the Blogs. SAIC does not endorse or otherwise verify the accuracy, truthfulness or reliability of any information provided on the Blogs or on any of the archival documents, oral statements and any other materials or information submitted by its employees unless it is provided by an authorized SAIC spokesperson. Any statements made on the Blogs or in any materials and information submitted by Blog members reflect only the views of their authors, and Your reliance on any such content is at Your own risk.

Your Representations and Warranties / License to SAIC

SAIC does not claim ownership to any materials or information You provide to the Blogs, including ANY feedback, suggestions, posts, uploads, inputs, or submissions You provide to the Blogs. However, if You provide such materials or information to SAIC then:

  • You are warranting and representing that You own or otherwise control all of the rights to Your materials or information including, without limitation, all patent, copyright, trademark, trade secret and all other intellectual property rights, if any, necessary for You to provide, post, upload, input or submit the materials or information and grant the license to SAIC set out below; and

  • YOU ARE AGREEING TO GRANT AND GRANTING TO SAIC, ITS AFFILIATED ENTITIES AND SUBLICENSEES, AN EXCLUSIVE, PERPETUAL, IRREVOCABLE, TRANSFERABLE, SUB LICENSABLE, WORLD-WIDE, ROYALTY-FREE, FULLY PAID UP RIGHT AND LICENSE TO USE, COPY, MODIFY, PUBLISH, DISTRIBUTE AND HAVE DISTRIBUTED, TRANSMIT, PUBLICLY DISPLAY, PUBLICLY PERFORM, REPRODUCE, EDIT, MAKE DERIVATIVE OR COLLECTIVE WORKS, TRANSLATE AND REFORMAT AND SUBLICENSE THE MATERIAL OR INFORMATION IN ANY FORM SUBMITTED BY YOU TO SAIC, AND TO PUBLISH YOUR NAME AND OTHER PERSONAL INFORMATION IN CONNECTION WITH MATERIAL OR INFORMATION IN ANY FORM SUBMITTED BY YOU TO SAIC. THIS FOREGOING RIGHT AND LICENSE GRANT INCLUDES A LICENSE UNDER ANY CURRENT AND FUTURE PATENTS, COPYRIGHTS AND TRADEMARKS OWNED OR LICENSABLE BY YOU TO THE EXTENT NECESSARY FOR SAIC TO EXERCISE ANY LICENSE RIGHT GRANTED HEREIN, INCLUDING WITHOUT LIMITATION TO COMBINE MATERIAL OR INFORMATION SUBMITTED BY YOU TO SAIC WITH ANY OTHER MATERIAL OR INFORMATION, AT SAIC’S OR ANY OTHER THIRD PARTY LICENSED BY SAIC’S SOLE DISCRETION, WITHOUT PAYMENT TO YOU AND WITHOUT YOUR INPUT, APPROVAL OR CONSENT.

Assignment

SAIC may in its sole and absolute discretion assign this Agreement, in whole or part, to another. You, however, agree not to assign, transfer or sublicense any of Your rights as a contributor to any third party.

Disclaimer

THE BLOGS AND INFORMATION AND MATERIALS PROVIDED THEREON ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, SAIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Account Termination Policy

SAIC will terminate Your access to its Website and the Blogs, without prior notice and in its sole discretion, if You are determined to be a repeat infringer. SAIC reserves the right to determine whether materials submitted by You are appropriate and comply with its Terms of Use for violations other than copyright infringement, such as pornography, obscene or defamatory material. SAIC may remove such material and/or terminate Your access for uploading such material in violation of Terms of Use at any time, without prior notice and in its sole discretion.

Jurisdictional Issues

The Blogs are controlled and operated by SAIC and/or its third party agents in the United States. SAIC makes no representation that material on the Blogs is appropriate or available for use in other locations. Those who choose to access the Blogs from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

This Agreement shall be governed by construed and enforced in accordance with the laws of the Commonwealth of Virginia, as it is applied to agreements entered into and to be performed entirely within the Commonwealth.

You and SAIC agree to settle by mandatory arbitration any and all statutory, contractual and/or common law claims or controversies (“claims”) that You and SAIC may have against one another in accordance with the Commercial Rules of Arbitration of AAA within one (1) year after the claim(s) arise. If the You and SAIC cannot agree as to one arbitrator, or if any claim or dispute involves an amount in excess of One Hundred Thousand Dollars ($100,000) then either You or SAIC may request that the matter be heard by a panel of three (3) arbitrators. Such arbitrator or panel of arbitrators shall hear and resolve the contested matter. The You and SAIC agree to cooperate in good faith in order to stipulate to reasonable restrictions on discovery, and in the event they cannot come to agreement on that issue, then You and SAIC will submit the issue to the arbitrator(s) for resolution. Arbitration shall take place in McLean, Virginia. Any provisions in this Agreement to the contrary notwithstanding, this Section shall be governed by the Federal Arbitration Act and You and SAIC have entered into this Agreement pursuant to such Act. The arbitrators shall not have the authority to award punitive or consequential damages to either You or SAIC. Both You and SAIC shall bear its own costs of arbitration, and both You and SAIC shall share equally in the costs of arbitration.
